UK Connections - Advertising Terms of Agreement
This Advertising Agreement (the “Agreement”) is entered into and made effective as of the date it is signed by the client which will become the (the “Effective Date”), by and between UK Connections Ltd later described in agreement as (“We or the Company”), and the Customer later described within this agreement as (“You, Customer or Client”).
1.0 Scope of Advertising Services
1.1 UK Connections Ltd agrees to design, launch, and manage advertising campaigns (the “Campaigns”) for the (You) Customer across the following designated channels: Meta, TikTok, Google, Instagram, Gumtree & Vivastreet.
1.2 Digital Media: Managing paid search (Google Ads) and paid social (Meta, TikTok, LinkedIn, Instagram, Gum Tree and Vivastreet.
1.3 Creative Production: Developing ad banners, video creatives, headlines, and landing page layouts.
1.4 Placement & Insertion: Securing ad placements on agreed-upon media networks or in other designated media platforms.
1.5 Optimization: Monitoring click-through rates (CTR), conversion rates, and return on ad spend (ROAS) daily.
1.6 UK Connections will hold no liability for the adverts being removed from any of the media platforms that you have requested us to place an advert on if your advert a: has breached the platforms terms and conditions b: breaches any security and community welfare provisions c: If your advert contravenes any content regulations under the provisions of the Digital Services Act (DSA) 2022 within the EU or the Online Safety Act 2023 within the UK.
1.7 Any breaches as a result of your own adverts that have been paid by you to place for you on any platform, which may be later removed will result in your account being barred from placing further adverts with UK Connections Ltd and your account with us suspended.
1.8 If your account is suspended by a third-party platform due to verified breaches, we will terminate our agreement with you immediately and you will not be refunded any fees that were paid to the platforms on your behalf.
1.9 You are entitled to appeal directly with any platform that may remove an advert which you have placed through UK Connections and upon a successful appeal we will refund you any advert fee for the remaining period due. UK Connections reserves the right to terminate any further adverts that it deems may breach the provisions of the above acts mentioned in clause 1.6 of this agreement.
1.10 UK Connections will always verify any advert you present to us prior to publishing on any platform so that to eliminate as much as possible any chance of any breaches for both parties.
2.0 Media Budget & Ad Spend
2.1 The Customer is solely responsible for the actual costs of the ads (the “Ad Spend”). Our price list is always advertised on our website and there are no hidden charges or costs that are added in addition to what is advertised.
2.2 The Customer will link their own payment method directly to the advertising platforms where adverts are published directly onto third party platforms on behalf of the customer. It is your duty to manage your account directly with the platform in question.
2.3 Platform Account Access: UK Connections does not have access to third party payments systems or account management platforms. Upon registration you will be able to set your passwords and download any relevant apps to manage your account.
2.4 Budget Limits: The Customer establishes a maximum monthly Ad Spend limit of [Amount and Currency] with UK Connections Ltd and we will not exceed this budget without prior written approval. This does not apply to customers managing their accounts directly through the platform interface themselves.
3.0 Fees & Payment Terms
3.1 Placement fee: The Customer shall pay UK Connections an Ad Placement and Management fee as displayed on our website for the relevant package as advertised for each specific package.
3.2 Invoices for the advert placement management fee will be sent on the day you wish to purchase the package and your (customer) payment must clear into our nominated account before your advert will be published on the platform(s) you have chosen.
3.3 We will only accept payment by bank transfer from UK banks only and in UK Great British Pounds.
3.4 We will not accept customers sending funds from any accounts outside the United Kingdom due to Money Laundering Terrorist Financing Regulations Act 2017 and section 327-330 of the Proceeds of Crime Act 2002.
3.5 Should UK Connections Ltd believe that any payment(s) received are in breach of section 52 and 53 of Sexual Offences Act 2003 we will without any further communication report you to the relevant law enforcement authorities in the UK and provide your information to the Police and support any further investigation which may lead to a criminal prosecution without fear of loosing your business.
4.0 Approvals & Content Compliance
4.1 Content Approval: UK Connections will obtain written approval (via email or the relevant platform software or their operating process/software) before launching or publishing any new advert on any media platform.
4.2 Compliance: The Customer guarantees that all provided brand elements, product claims, and target URLs comply with UK advertising laws and platform policies (e.g., restricted content guidelines). UK Connections Ltd has the right to send a cessation notice without notice to the platform to take down the advert if we feel the advert published breaches any of the safeguarding provisions as described in clause 3.5.
4.3 UK Connections Ltd will adhere to ensuring our customers are not in contravention of the Modern Slavery Act 2015 and will without notice monitor any activity we feel that is or will be in breach of any regulations within the Act mentioned.
4.4 (We) UK Connections Ltd has the right to notify UK Immigration and Border Force Authority, the Police and or any other law enforcement body should we suspect that any advert being placed through our website, directly or through any third-party website or platform that there is room for concern or (you) our customer is in breach of the law.
4.5 We place adverts for many customers and businesses and it is our duty of care to protect the public and or any individual who may knowingly or not respond to or engage with any of the services that our customers may be offering.
4.6 It is our duty to ensure that the customer does not break the law intentionally as defined in the Policing and Crime Act 2009. We have an obligation to report any activity directly to the Police should we be in possession of any such data, information by any means, whether electronic in person or through contact with us by phone, text or email. We will retain any information we believe to be pertinent and present this to the relevant law enforcement authorities in the UK.

4.8 All data and financial transactions carried out by our customers with UK Connections Ltd is within the directives of UK GDPR and our data and privacy policy can be found on our website, https://www.ukconnections.co.uk
4.9 We will not publish any advertisements on sites that do not operate their own corporate safeguarding or risk protection policies.
5.0 Intellectual Property & License
5.1 Usage License: The Customer grants UK Connections Ltd a limited, non-exclusive license to use its trademarks, logos, and product images solely for the duration of the advertising campaigns.
5.2 Ownership of Ad Creatives: Upon receipt of final payment, ownership of all custom ad designs, copy, and visual media transfers completely to the Customer.
5.3 Should any ads upon completion are used outside the United Kingdom without our permission and are modified, manipulated or our intellectual deigns are tainted by third party involvement we have the automatic right to issue “cease and desist”notices to any platform which it may be published on.
5.4 UK Connections Ltd has the right to terminate any advertisement and refuse ownership of any content design including any IP owned by the customer should it be used for illegal or breaches and of the UK Statutory Acts mentioned within this agreement.
6.0 Performance Disclaimer
6.1 No Guarantees: While UK Connections Ltd will deploy its professional expertise, it does not guarantee specific commercial outcomes, sales volumes, or explicit lead generation metrics, as market conditions and platform algorithms fluctuate.
6.2 UK Connections obligation in exchange for the advert and or marketing fees paid by you (the customer) is only for placing, designing and publishing your advert/campaign as per your final sign off with no monetary guarantees or warranties whatsoever.
7.0 Term & Cancellation
7.1 Duration: This contract runs for an initial duration of one month with automatic continuation subject to customer placing advertisements for a minimum of one week per every thirty days or twelve times per year.
7.2 UK Connections Ltd will cancel your advertisement should it contravene any of the security, risk and compliance clauses in this agreement. You will not be entitled to a refund even if was only published for five minutes. Breach of our terms is a breach no matter what excuse or conditions that may have arisen.
7.3 Cancellation: Either party may cancel the agreement by providing a minimum of 30 days’ notice by email or 30 days prior written notice.
8.0 Jurisdiction
8.1 By placing an advertisement through our website, email or telephone, you will be treated as you (our Customer) accepting our strict operating procedures and agreeing to adhere to our risk management and compliance conditions as governed under UK law.
This Agreement is governed by the laws of United Kingdom
